Terms of Service

SIE provides professionals and organizations with tools to map, search, contextualize, and coordinate their professional networks by integrating data from LinkedIn, email, calendars, and other connected systems.

The Service includes:

• Browser extension(s) and API integrations.
• Network mapping, enrichment, and analytics.
• Missions (workspace/project pipelines).
• AI-powered search, insights, and recommendations.
• Optional communication and coordination features (email, calendar).

• The Service is intended exclusively for professional use.
• You must be at least 18 years old and legally able to enter contracts.
• If using on behalf of a company, you confirm you have authority to bind that company.
• Access requires internet connectivity, a compatible browser, and valid account credentials.

• To use the Service, you must register and create an account.
• You agree to provide accurate, complete, and current information.
• You are responsible for maintaining the confidentiality of your credentials and any activity under your account.
• You must immediately notify us if you suspect unauthorized use.

You agree to use the Service only for lawful purposes. You shall not:

• Scrape, extract, or store data in ways not permitted by the Service.
• Send spam, unsolicited commercial messages, or automated mass outreach.
• Circumvent security features, throttle limits, or approval steps.
• Reverse engineer, copy, or create derivative works of the Service.
• Misuse integrations (LinkedIn, Gmail, Outlook, CRMs, etc.) beyond intended features.

SIE may monitor usage to ensure compliance with fair use and reserves the right to suspend or limit accounts in cases of abuse.

• Customer Data: You retain ownership of the data you input or upload. By using the Service, you grant Sumbios a limited license to process your data as necessary to deliver the Service.
• Third-Party Integrations: By connecting integrations (e.g., LinkedIn, Gmail, Outlook, Slack, CRMs), you authorize SIE to access the minimum required data to provide the requested functionality.
• AI Features: Certain features use AI/ML to generate suggestions or insights. No automated action is taken without your review/approval. AI systems are not trained on your identifiable data unless anonymized or aggregated.

• Paid subscriptions are billed monthly or annually as stated at checkout or in your Order Form.
• All fees are due upfront, non-refundable (except where required by law).
• Prices exclude VAT and applicable taxes.
• Non-payment may result in suspension or termination of the Service.

Each Party agrees to treat as confidential any non-public information disclosed by the other Party in relation to this Agreement, with the same care it uses to protect its own confidential information.

Exceptions apply for information that is public, independently developed, lawfully obtained, or required to be disclosed by law.

• Sumbios owns all rights, titles, and interests in the Service, including software, designs, databases, and related intellectual property.
• You may not use our IPR except as expressly permitted.
• Feedback you provide may be used by us without obligation or compensation.
• You retain rights over your Customer Data; we act only as custodian.

• This Agreement begins on the Effective Date and continues until terminated.
• Subscriptions renew automatically unless canceled before the next billing period.
• Either Party may terminate with 30 days' written notice.
• We may suspend or terminate accounts immediately in cases of non-payment, material breach, or unlawful use.
• Upon termination, access ceases and we will delete or anonymize your data per our Privacy Policy.

• We warrant that we will provide the Service with reasonable care and skill.
• The Service is provided "as is" and "as available," without warranties of uninterrupted or error-free operation.
• We do not guarantee outcomes (e.g., sales leads, deal closings) from using the Service.

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages, including lost profits.
• Our aggregate liability under this Agreement shall not exceed the fees paid by you in the 12 months preceding the claim.

You agree to indemnify and hold harmless Sumbios against claims, damages, or losses arising from:

• Your misuse of the Service.
• Your breach of these ToS.
• Any unlawful processing of data by you.

• We may update or modify the Service features from time to time.
• We may amend these ToS by posting an updated version. Material changes will be communicated in advance.
• Continued use of the Service after changes constitutes acceptance.

• These ToS are governed by Swedish law.
• Any dispute shall be resolved by arbitration under the rules of the Stockholm Chamber of Commerce.
• The United Nations Convention on Contracts for the International Sale of Goods does not apply.

• Assignment: You may not transfer this Agreement without our consent. We may transfer our rights and obligations with notice.
• Relationship: Nothing in this Agreement creates a partnership, joint venture, or employment relationship.
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
• Entire Agreement: These ToS, together with the Privacy Policy and DPA, constitute the entire agreement between the Parties.
